FAQ's

1. What are the due dates for filing returns with the Registrar of Companies (ROC)

There are different due dates for companies and Limited Liability Partnerships:

Companies Limited Liability Partnership
Annual general Meeting (AGM): 30th September. Form 11 – Annual Return: 60 days from closure of Financial Year i.e. 30th May.
Form AOC-4: 30 days from Annual General Meeting AGM i.e. 30th October Form 8 – Annual Statements: 30th October.
MGT-7: 60 days from Annual General Meeting i.e. 29th November.

2. Which type of entity, Private Limited Company or Limited Liability Partnership (LLP), has less compliance?

In comparison to a Private Limited Company, Limited Liability Partnership has lower level of compliances, for example All private limited companies are required to have their accounts audited however only Limited Liability Partnerships (LLP) with turnover exceeding 40 Lakhs or contribution exceeding 25 Lakhs is required to have its accounts audited by a practicing Chartered Accountant.

3. What is the penalty for not filing annual return with the Registrar of Companies (ROC)?

The Penalty for non-compliance in filing Annual return with the Registrar of Companies (ROC) for both Private Limited Companies and Limited Liability Partnership (LLP) is INR 100 Per Day.
